Terms of Service
Version 1 — October 2026 · Last updated: 13 October 2026
In short: ContractPay is payroll software. Your data belongs to you. We keep it in India, keep it safe, and give it back to you whenever you ask. You check the salary, PF and ESI figures before you pay or file. You can stop at any time.
1. Who we are
ContractPay (contractpay.dinmind.com) is run by Dinmind Infotech Private Limited (OPC), a company registered in India with its office in Chennai, Tamil Nadu ("Dinmind", "we", "us"). Contact: dinesh@dinmind.in · WhatsApp +91 90030 40075 · www.dinmind.com.
"You" or "Customer" means the business that signs up for ContractPay, and every person that business allows to log in.
2. Accepting these terms
- By creating an account, or by using ContractPay, you agree to these Terms and to our Privacy Policy.
- The person who signs up confirms that they are at least 18 years old and allowed to accept these Terms for the business.
- If you have signed a separate Order Form or Subscription Agreement with us, that document wins wherever it differs from these Terms.
3. What ContractPay does
ContractPay helps manpower contractors, security agencies, housekeeping agencies and similar businesses to keep worker records and attendance, work out salary, and make payslips, bank salary files, PF ECR files, ESI files, registers (such as Form XXVII), salary statements and client bills. We may add, improve or remove features over time. We will not remove a main feature you pay for without telling you at least 30 days before.
4. Free trial
- New accounts get a free trial (currently 30 days). No card is needed.
- Sample workers are added so you can try the software. You can delete them.
- At the end of the trial you can choose a paid plan. If you do not, your account becomes read-only and, after a further 30 days, we may delete the trial data. We will remind you before we do this.
5. Your account and logins
- Keep your passwords secret. Give each staff member their own login. Do not share logins.
- You are responsible for what happens under your logins, and for removing staff who leave.
- For safety, a login is locked for a short time after several wrong passwords.
- Tell us at once at dinesh@dinmind.in or on WhatsApp if you think someone else has used your login.
6. Price, billing and GST
- The price is per live worker per month, by slab, as shown on our website or in your Order Form. A "live worker" is a worker for whom salary is run in that month.
- GST at the rate in force (currently 18%) is added to every invoice. We issue a proper GST tax invoice. Give us your GSTIN if you want to claim input tax credit.
- Unless your Order Form says otherwise, we bill monthly in advance or at the start of the month for the previous month's live workers, and payment is due within 15 days of the invoice.
- If payment is more than 30 days late, we will remind you, and after a further 15 days' notice we may limit your account to read-only and export only. We will never hold your data hostage: you can always download your data, even if you owe us money.
- We may change prices with at least 30 days' written notice. A new price does not apply to a period you have already paid for.
- Fees already paid are not refunded, except where the law requires it or where we end the service without your fault (then we refund the unused part).
7. Your data belongs to you
- All data you or your staff put into ContractPay — company details, worker details, attendance, salary, files and reports ("Customer Data") — belongs to you.
- You give us permission to store and process Customer Data only to provide ContractPay to you, to support you when you ask, to keep backups, to keep the service safe, and when the law requires it.
- We do not sell Customer Data. We do not use it for advertising. We do not contact your workers or your client companies.
- We may use counts and usage figures that do not identify any person or business (for example, "number of payslips made this month") to run and improve ContractPay.
8. Worker data — your duties and ours
Under India's Digital Personal Data Protection Act, 2023 (DPDP Act), for your workers' personal data you are the Data Fiduciary (you decide why the data is collected) and Dinmind is your Data Processor (we process it only on your instructions).
You agree to:
- collect worker data lawfully and only for employment, wages and statutory purposes;
- tell your workers that their details are kept in payroll software, and why (we give you a simple sample notice in English and Tamil);
- enter correct data, and correct it when a worker asks;
- handle requests and complaints from your workers about their data (we will help you);
- follow any special rule for workers below 18 years of age, and for Aadhaar numbers;
- not upload data you are not allowed to hold.
We agree to:
- process worker data only to provide ContractPay to you and as you instruct;
- keep the data in India (servers in Mumbai) and keep reasonable security safeguards;
- allow only trained Dinmind staff to see it, and only when needed to support you or fix a problem;
- tell you without delay, and within 24 hours of our becoming aware of a personal data breach that affects your data, and help you with your own reporting duties;
- delete the data when you close your account, as set out in section 12.
The list of service providers we use to run ContractPay (for example, cloud hosting) is in our Privacy Policy. They are bound to keep data safe.
9. Salary, PF, ESI and statutory figures — please check
- ContractPay works out salary, PF, ESI and other figures using the rules, rates and settings you choose. Laws and government portals change. You must check all figures and files before paying salary, filing returns or sending bills.
- ContractPay is a tool. It is not legal, tax or accounting advice. Uploading files to EPFO, ESIC, banks or other portals, and meeting due dates, is your responsibility.
- If you find a mistake caused by the software, tell us. We will fix it as fast as we reasonably can.
10. Fair use — what you must not do
- Do not try to break in, test our security without written permission, or access another customer's data.
- Do not overload the service on purpose, scrape it, copy it, or resell it without our written agreement.
- Do not upload viruses or harmful files.
- Do not use ContractPay for anything unlawful, including paying below lawful wages or keeping false records.
If you break these rules, we may suspend the account after notice (or at once if there is a serious security risk). You will still be able to get your data out.
11. Availability, support and changes
- We aim to keep ContractPay available 24 hours a day, every day, with a target of 99.5% each month (not counting planned maintenance, which we try to do at night or on Sundays, and tell you about in advance).
- Support is by WhatsApp and email, Monday to Saturday, 9:30 am to 6:30 pm IST, except public holidays. Urgent problems in the first week of the month get extra cover.
- Sometimes the service may stop because of things outside our control (see section 18). We will do our best to restore it quickly.
12. Backups, export and leaving us
- We take backups of the database every day and keep recent backups for at least 30 days.
- You can download your worker data, salary statements and reports from inside ContractPay at any time. On request, we will also give you a full export of your Customer Data in Excel / CSV format, free of charge, once per quarter and once when you leave.
- You can stop your subscription at any time by telling us in writing (email or WhatsApp). It stops at the end of the month already paid.
- After you stop, your account stays read-only for 60 days so you can download everything. After that we delete your Customer Data from the live system. Copies inside backups are removed as those backups expire (within about 30 more days). We keep only what the law requires us to keep, such as our own invoices to you.
- If Dinmind ever decides to close ContractPay, we will tell you at least 90 days before and give you a full export of your data.
13. Ending or suspending the service
- You may end the service at any time, as in section 12.
- We may end the service for you with 30 days' written notice, or sooner if you seriously break these Terms and do not fix it within 15 days of our notice.
- Sections 7, 9, 12, 14, 15, 16, 17 and 19 continue after the service ends.
14. Our software and name
ContractPay, its software, design and name belong to Dinmind. You get a right to use it for your own business during your subscription. Suggestions you send us may be used to improve the product, with no payment due.
15. Confidentiality
Each of us will keep the other's non-public business information secret and use it only for this service, except where the law or a court requires disclosure.
16. Our promises, and their limits
- We will provide ContractPay with reasonable skill and care.
- Apart from what these Terms say, ContractPay is provided "as is". We do not promise that it will never have errors or interruptions.
17. Limit of liability
- Neither of us is liable to the other for indirect or consequential loss, or loss of profit, business or goodwill.
- Our total liability for all claims in any 12-month period is limited to the fees you paid us for ContractPay in the 12 months before the claim.
- These limits do not apply to fraud, or to anything that cannot be limited under Indian law.
- We are not responsible for penalties, interest or losses caused by figures or files you did not check (section 9), wrong data entered, or late filing.
18. Events outside our control
Neither of us is responsible for delay or failure caused by events outside reasonable control, such as natural disasters, epidemics, war, government action, power or internet failure, or failure of a major cloud provider. We will tell you and do our best to reduce the effect.
19. Law and disputes
- These Terms are governed by the laws of India.
- We will first try to settle any problem by talking, within 30 days.
- If not settled, the courts at Chennai, Tamil Nadu alone will have jurisdiction.
20. Changes to these Terms
We may update these Terms. For important changes we will tell you by email or in the app at least 30 days before they apply. If you do not agree, you can stop and take your data out as in section 12.
